Required Documents for the Issuance of New License

  • 1. Licensing Form signed by the authorized person.
  • 2. Trade Name.
  • 3. Approvals of the official authorities for the activities require special approvals.
  • 4. Photocopy of passports and naturalization identification.
  • 5. No-objection letter from the applicant’s current sponsor together with a photocopy of residence permit / visa details.
  • 6. Company’s Memorandum of association and Bank letter confirming the depositing amount of the company’s capital or balance sheet.
  • 7. Approval of the Ministry of Economic & Planning.
  • 8. Technical Evaluation Report (Inspection).
  • 9. Photocopy of lease contract duly certified.
  • 10. Photocopy of plot blueprint in addition to property document.
  • 11. Bulletin Board Form.

Establishment of Limited Liability Company

  • 1. Licensing form issued by the Department indicating the approval by the Department of Licenses to establish the company according to the activity mentioned therein.(Preliminary approval)
  • 2. Memorandum of association of the company authenticated by the Notary Public.
  • 3. Bank letter confirming depositing amount of the company’s capital by the partners according to the ratios set by the law.
  • 4. Registration of the Memorandum of association at the Ministry of Economy.
  • 5. The officer then shall receive and check the aforementioned documents and forwards the application to the Registration and Licensing Section for the issuance of License and Trade Register.

Establishing a Branch of Limited Liability Company \ Public, Private and Local Shareholding

  • 1. Approval of the Department on the Licensing Application Form to open a local branch.
  • 2. Photocopy of the Memorandum of association of the main company.
  • 3. Photocopy of (commercial license, Trade Register, Membership Certificate) of the main company.
  • 4. The Company’s Board of Directors’ Resolution authorizing opening of the branch in the Emirate of Sharja as well as appointing director.
  • 5. Photocopy of the balance sheet for the last financial year to check the financial standing of the company.
  • 6. The officer then shall receive and check the aforementioned documents and forwards the application to the Registration and Licensing Section for the issuance of License and Trade Register.

Establishing General Partnership and Limited Partnership Company

  • 1. Licensing form issued by the Department indicating the approval by the Department of Licenses to establish the company according to the activity mentioned therein. (Preliminary approval)
  • 2. Registration of the Memorandum of association at the Ministry of Economy.
  • 3. Memorandum of association of the company authenticated by the Notary Public.
  • 4. The officer then shall receive and check the aforementioned documents and forwards the application to the Registration and Licensing Section for the issuance of License and Trade Register.

Establishing Public/Private Shareholding Companies:

  • 1. Licensing form issued by the Department enclosed with the Memorandum & Articles of association, Feasibility study of the project and the proposed timetable for its implementation.
  • 2. A committee shall be formed comprises of representatives from the Economic Development Department and the Ministry of Economy upon a resolution of the Department in order to look into the Memorandum & Articles of association, Feasibility study of the project.
  • 3. After studying the application, the Department refer its recommendations His Highness the Ruler of the Emirate of Sharja to get his approval and issue the Ruling Decree in this regard.
  • 4. All documents shall be submitted to the Ministry of Economy to issue the approval on establishment.
  • 5. Referring Legal Affairs Division for the issuance of the approval letter.

Note 1: Public and private shareholding companies are subject to the Companies’ Federal Law No. 8 for the Year 1984, amended by the Companies Federal Laws No. 16 for the year 1988 and law 4 for the year 1990.

Note 2: All companies subject to Companies’ Federal Law should refer to the Ministry of Economy to publish their Memorandum of Association in the Official Gazette.

Procedures of Licensing Renewal

  • 6. Duly certified contract of local services agent.

Registration of a Local Establishment or Company

  • 1. Filling in License Form
  • 2. Photocopy of valid Trade License and Certificate of Registration of the main company (Mother).
  • 3. Photocopy of the Memorandum of association of the main company and amendments (if any).
  • 4. Photocopy of the Articles of association of the company (for Shareholding Companies only).
  • 5. Minutes of the meeting (General Assembly) approving toopen the branch (for a limited partnership, general partnership,
  • 6. limited liability and individual establishments) (a letter from the authorized director or licensee).
  • 7. A balance sheet for the last financial year of the main company.
  • 8. Referring to Legal Affairs for the adoption of the documents.

Registration of a Foreign Establishment/Company

  • 1. Filling in License Application Form.
  • 2. Photocopy of the trade license and certificate of registration of the main company (Mother) with legal
  • 3. translation.
  • 4. Photocopy of the Memorandum of association of the main company and amendments (if any) with legal translation.
  • 5. Photocopy of the Articles of association of the company (for Shareholding Companies only) with legal translation.
  • 6. Minutes of the meeting of the partners approving to open the branch with legal translation (For all types of companies).
  • 7. A balance sheet for the last two financial years of the main company.
  • 8. Power of attorney (authorization) for the representative of a foreign company.
  • 9. Agency contract between the foreign company and the local agent, authenticated by the notary public.
  • 10. Approval of the Ministry of Economy and Trade for opening the branch.
  • 11. Preliminary approval

Note: All non-Arabic documents must be legally translated and approved of by the UAE embassy in the country of the business firm and ratified by the Ministry of Foreign Affairs in the United Arab Emirates.

Procedures of License Amendments

  • 1. Changing the Legal Form of an Individual Establishment to a Limited Liability Company-
  • 2. Filling in Form of Legal Affairs with Licensing Application Form.
  • 3. Photocopies of passports of all new partners.
  • 4. Original Memorandum of association duly authenticated by the Notary Public.
  • 5. Original certificate of capital deposit issued by one the banks. Operating in the Emirate or a financial centre by an accredited Audit Bureau.
  • 6. Photocopy of the Power of attorney or authorization in case one of the partners signed on behalf of the partners.
  • 7. General Assembly resolution of the partners to enter into partnership (in case the partner is an operating company) + license of the company. The announcement will be valid for 15 days.

Sharja Chamber of Commerce & Industry

The departments whose approvals are required for the licensing process are the following:
  • a. Department of Economic Development to get preliminary approval from the licensing committee.
  • b. Department of Economic Development to obtain the Trade Name.
  • c. The Licensing Application Form should be enclosed with the following:
  • d. Photocopy of valid passport and naturalization identification of UAE nationals.
  • e. No- objection letter from the sponsor for license applicants, with a photocopy of the applicant’s passport (non-AGCC nationals).
  • f. No- objection letter attested by the court in the case of no guardian. It should be authenticated by the Department of Economic Development or from the Sharja Chamber of Commerce and Industry (or a no objection letter from the guardian for businesswomen to practice trade activities) and permission attested by the court for individuals under 21.
  • g. In case of activities that require prior approvals from other departments, photocopies should be presented (like Interior Ministry, Ministry of Health, Ministry of Information and Culture etc...).

In case of company branches or the entry of a company as a partner in a new license, the following documents should be submitted:
  • a. Photocopy of duly certified Memorandum of Association.
  • b. Resolution of the mother company duly certified.
  • c. Letter from the mother company appointing a director to carry out licensing procedures
  • d. The balance sheet of the last two years.
Required Documents for investors to get work visa:
  • 1. Work Visa Application Form from Ministry of Labour and Social Affairs.
  • 2. Photocopy of applicant’s passport.
  • 3. Photocopy of license from Economic Development Department.
  • 4. Photocopy of Chamber membership certificate.
  • 5. Photocopy of original visit visa.
  • 6. Photocopy of Contract of partnership. In case of companies, it shall be authenticated by the Ministry of Economy & Trade.
